Terms and Conditions (“Terms”) govern the use of services provided by Ektukra Digital Agency (“Ektukra,” “we,” “our,” or “us”). By engaging with our website, services, or entering into a contract with us, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

1. Scope of Services

Ektukra provides professional digital solutions, including but not limited to:

• Website Design and Development
• Digital Marketing and Branding
• Social Media Strategy and Management
• Content Development and Strategy

All services are delivered in accordance with agreed project proposals, timelines, and pricing structures.

2. Client Obligations

The Client agrees to:

• Provide complete, accurate, and timely information necessary for service execution.
• Ensure that all content, images, and materials supplied are free from copyright or third-party restrictions.
• Cooperate fully by providing feedback, approvals, and responses within the agreed timeframe.

Failure to comply may result in delays or additional charges.

3. Fees and Payment Terms

• All projects require an initial advance payment as agreed in the proposal.
• Remaining balances must be settled prior to final delivery or deployment of services.
• Payments are non-refundable for completed work or services rendered.
• Late payments may result in suspension of services or additional charges.

4. Intellectual Property Rights

• Ownership of all deliverables shall remain with Ektukra until full payment is received.
• Upon settlement, ownership of final approved work is transferred to the Client.
• Ektukra reserves the right to showcase completed projects for portfolio and promotional purposes, unless expressly prohibited in writing by the Client.

5. SEO Performance Disclaimer

Ektukra employs industry best practices to enhance search engine visibility. However, due to the dynamic nature of search engine algorithms and competition, no specific ranking or traffic results are guaranteed.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the project. Information shall not be disclosed to third parties without prior written consent, except where required by law.

7. Termination of Agreement

Either party may terminate the agreement with written notice.

• Payments made for services already rendered remain non-refundable.
• Incomplete projects terminated by the Client will be invoiced for the work completed up to the termination date.

8. Limitation of Liability

Ektukra shall not be liable for:

• Loss of profits, revenue, or data arising from service use.
• Issues caused by third-party service providers (e.g., hosting, domain, plugins, or search engines).
• Any indirect, incidental, or consequential damages beyond the value of the services provided.

9. Governing Law

These Terms shall be governed and constructed in accordance with the laws of Nepal. Any disputes arising under these Terms shall be subject to the jurisdiction of the courts in Kathmandu.
